TERMS OF USE (TERMS AND CONDITIONS)

1. PREAMBLE & LEGAL VALIDITY

This document is an Electronic Record in terms of the Information Technology Act, 2000, the applicable rules thereunder, and the amended provisions pertaining to electronic records in various statutes. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021, which requires publishing the rules and regulations, privacy policy, and Terms of Use for access or usage of the domain https://entimessi.com/ (hereinafter referred to as the "Platform" or "Website").

2. INTRODUCTION & ACCEPTANCE

The Platform is owned and operated by Artists Integrated Business Private Limited ("Company," "We," "Us," "Our"), a Private Limited Company incorporated under the Companies Act, having its Registered Office in Kolkata, West Bengal.

By accessing, browsing, or using the Platform, you ("User," "You") agree to be bound by these Terms of Use (Terms and Conditions), our Terms of Service, our Privacy Policy, and our Return, Exchange, Cancellation and Refund Policy. If you do not agree to these terms, you must discontinue use immediately. We reserve the right to modify these Terms at any time without prior notice. Your continued use of the Platform following any changes constitutes acceptance of those changes.

3. ELIGIBILITY TO USE

Use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872, including minors, un-discharged insolvents, etc., are not eligible to use the Platform. If you are a minor (under the age of 18 years), you may use the Platform only under the supervision of a parent or legal guardian.

4. USER ACCOUNT & SECURITY

  • Confidentiality: You are responsible for maintaining the confidentiality of your account credentials. You agree to accept responsibility for all activities that occur under your account.
  • Accuracy: You agree to provide true, accurate, current, and complete information. If we have reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, we have the right to indefinitely suspend, terminate, or block your access to the Platform.
  • Security Breach: You agree to immediately notify us of any unauthorized use of your account. We shall not be liable for any loss or damage arising from your failure to comply with this section.

5. PLATFORM SERVICES & MARKETPLACE MODEL

  • Nature of Service: We provide an internet-based marketplace facilitating the sale of fashion and lifestyle merchandise.
  • Contract of Sale: The contract of sale is strictly a bipartite contract between you and the seller (which may be Entimessi as a private label or third-party vendors).
  • Product Representation: While we strive for accuracy, we do not warrant that product descriptions or other content are accurate, complete, reliable, current, or error-free. Colors may vary slightly due to screen resolutions.

6. USER CONDUCT & PROHIBITED ACTS

You agree strictly NOT to host, display, upload, modify, publish, transmit, update, or share any information that:

  1. Belongs to another person and to which you do not have any right.
  2. Is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or racially/ethnically objectionable.
  3. Promotes money laundering or gambling.
  4. Harmful to children.
  5. Infringes any patent, trademark, copyright, or other proprietary rights.
  6. Violates any law for the time being in force.
  7. Threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, or public order.
  8. Contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer resource.

Fraud Prevention: We reserve the right to recover the cost of goods, collection charges, and lawyers' fees from persons using the Platform fraudulently. We reserve the right to initiate legal proceedings against such persons for fraudulent use of the Platform and any other unlawful acts.

7. ORDERS, CANCELLATIONS & "UNFULFILLABLE" ORDERS

  • Bulk/Fraud Orders: We reserve the right to cancel any orders that we classify as "Bulk Orders" or "Fraudulent Orders" based on criteria such as:
    • Products ordered for commercial resale rather than self-consumption.
    • Multiple orders for the same product at the same address.
    • Invalid address or contact details.
    • High return rates or repeated requests for monetary compensation on fake/used orders.
  • Cancellation by Company: We may cancel orders due to technical glitches, pricing errors, stock unavailability, or quality check failures prior to dispatch.

8. LOGISTICS, DELIVERY & DISPUTES

  • Delivery Timeline: Delivery timelines are estimates. We are not liable for delays caused by logistics partners or Force Majeure events.
  • Deemed Delivery: You must notify us of non-receipt or delivery disputes within 5 days from the alleged date of delivery reflected on the tracking status. Non-notification within this period shall be construed as a deemed delivery, and no claims shall be entertained thereafter.
  • Tampered Packages & Unboxing Video: You agree NOT to accept any package that appears tampered with or unsealed.
  • Mandatory Condition: To claim a refund/exchange for missing or damaged products, you are strictly required to submit an unedited, continuous Unboxing Video. Failure to provide this evidence will result in the rejection of your claim.

9. RETURNS, REFUNDS & STORE CREDIT

Your use of the Platform is subject to our Return, Exchange, Cancellation and Refund Policy, which is incorporated here by reference.

  • Store Credit (Default): You acknowledge that for returns and cancellations, Entimessi Store Credit is the default mode of refund.
  • Condition of Return: Returns are accepted only if the product is unused, unwashed, and tags are intact. If a returned product fails the Quality Check (QC), it will be re-shipped to you, and no refund will be processed.
  • No Cash Refunds: We do not provide cash refunds.

10. INTELLECTUAL PROPERTY RIGHTS

All content on the Platform, including text, graphics, logos, button icons, images, audio clips, digital downloads, and data compilations, is the property of AIBPL or its content suppliers and is protected by Indian and international copyright laws. You may not extract/or re-utilize parts of the contents of the Platform without our express written consent.10

11. D11ISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

  • "As Is" Basis: The Services are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Platform.
  • Limitation: To the fullest extent permitted by law, Artists Integrated Business Private Limited shall not be liable for any indirect, incidental, punitive, or consequential damages arising from your use of the Platform.
  • Cap on Liability: In no event shall our total liability to you for all damages or losses exceed the amount paid by you for the specific product/order giving rise to the claim.

12. INDEMNITY

You agree to indemnify and hold harmless AIBPL, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys' fees, made by any third party or penalty imposed due to or arising out of your breach of this Terms of Use, Privacy Policy, or your violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.

13. PRIVACY & DATA PROTECTION

We view the protection of your privacy as a very important principle. We store and process your Information including any sensitive financial information in accordance with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023. We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent.

14. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and interpreted and construed in accordance with the laws of India. The place of jurisdiction shall be exclusively in Kolkata, West Bengal. Any dispute shall be subject to the exclusive jurisdiction of the courts located in Kolkata.

15. OFFICIAL COMMUNICATION CHANNELS

To ensure security and maintain an auditable trail of communication:

  • Primary Channel: All critical matters (Payments, Returns, Disputes) must be communicated via email to care@entimessi.com.
  • Secondary Channel: WhatsApp may be used for quick updates, but voice calls are not entertained.
  • We will never ask for your OTP, CVV, or PIN.

16. GRIEVANCE REDRESSAL MECHANISM

In accordance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, the name and contact details of the Grievance Officer are provided below:
